Terms & Conditions<\/h1><\/div>

1. General<\/h2><\/div>

All offers, orders and deliveries will be made in accordance with our General Terms and Conditions. All deviations require our written consent.<\/p>\n<\/div><\/div><\/div>

2. Offers<\/h2><\/div>
<\/div>
\n

Our offers are non-binding and without obligation at all times. Contracts with us are not concluded until we have given our written acceptance of orderes received, or until the delivery items or services ordered by our customers have been delivered or performed. Deviations from these terms require written consent.<\/p>\n<\/div><\/div><\/div>

3. Prices<\/h2><\/div>
<\/div>
\n

The applicable prices are ex works prices at the venue of our business, plus value added tax at the statutory rate, plus costs for packaging, transport and insurance, if applicable. In the absence of a separate agreement the prices valid on the date of delivery will be effective.<\/p>\n<\/div><\/div><\/div>

4. Delivery<\/h2><\/div>
<\/div>
\n

Deliveries will be made at the receivers risk. Packaging and transport will be in our discretion, but not necessarily at the cheapest rate. We will effect a transport insurance. The customer will have to examine the delivered items for completeness and accordance with the invoice or delivery receipt immediately upon receiving them. If we do not receive an objection within seven days the delivery is considered proper and complete unless there is a defect that was not recognisable at the examination.<\/p>\n<\/div><\/div><\/div>

5. Packaging<\/h2><\/div>
<\/div>
\n

The goods will be packaged by the manufacturer. The fees for packaging and disposal of packages will have to be paid by the customer.<\/p>\n<\/div><\/div><\/div>

6. Shipment Fees<\/h2><\/div>
<\/div>
\n

The costs for transport will have to be paid by the customer. The shipment fees within Germany are 8.33 \u20ac with advance payment or bank collection and 13.09 \u20ac for cash on delivery. Deliveries outside of Germany will be made only with advance payment at 22.47 \u20ac.<\/p>\n<\/div><\/div><\/div>

7. Warranty<\/h2><\/div>
<\/div>
\n

OCR Systeme GmbH warrants that none of the items supplied will exhibit sever faults including the absence of assured properties. The parties are aware that, according to the state of the art, it is not possible to exclude faults in software products under all conditions of use.
\nOCR Systeme GmbH does not warrant that the software functionality meets the requirements of the customer or will co-operate in the configuration made by the customer.
\nThe warranty is limited to six months. Any extension to the warranty term will require written consent.<\/p>\n<\/div><\/div><\/div>

8. Liability<\/h2><\/div>
<\/div>
\n

Claims for compensation for consequential costs of any kind, cause by failure to deliver or faulty delivery or non-functionality of any product provided by us are excluded. Liability of OCR Systeme GmbH is limited to the value of the product provided by us.<\/p>\n<\/div><\/div><\/div>

9. Retention of Title<\/h2><\/div>
<\/div>
\n

We reserve ownership of the items supplied pending full payment of all amounts owed to us. If the items will be sold beforehand the resulting claim will be assigned to us. If payments are received as a result of this claim they are to be transfered to us.<\/p>\n<\/div><\/div><\/div>

10. Data Protection<\/h2><\/div>
<\/div>
\n

Orders will be executed using electronic data processing. The customer herewith agrees with the storage and processing of all data collected as part of the contractual relationship and required for processing their order.<\/p>\n<\/div><\/div><\/div>

11. Payment<\/h2><\/div>
<\/div>
\n

Our invoices have to be paid without deductions immediately after receiving the delivery. If a date of payment has been granted the payment is considered in time only if a cheque or wire transfer is received on or before the date of payment.<\/p>\n<\/div><\/div><\/div>

12. Place of Jurisdiction, Governing Law<\/h2><\/div>
<\/div>
\n

The place of jurisdiction for all disputes arising from the contractual relationship, its creation and its validity is Leipzig. The entire contractual relationship is governed by the laws of the Federal Republic of Germany.<\/p>\n<\/div><\/div><\/div>

Alternative Dispute Resolution in accordance with Art. 14 (1) ODR-VO and \u00a7 36 VSBG:<\/h3>\n

The European Commission provides a platform for online dispute resolution (OS), available at\u00a0https:\/\/ec.europa.eu\/consumers\/odr<\/a>\u00a0. We are not obligated and unwilling to participate in a dispute settlement procedure before a consumer arbitration board.<\/p>\n<\/div>
